Source text - Arabic واجبات الموظف:
1 – القيام بالعمل على أتم وجه وخدمة صاحب العمل بإخلاص وأمانة والسعي لأن يكون في أعلى مستوى من الأداء الوظيفي.
2 – الالتزام بقواعد والتعليمات صاحب العمل وعدم مخالفة هذه القواعد والالتزام بالدليل الوظيفي.
3 – الالتزام بالتعامل مع الموظفين داخل الشركة ومع أشخاص من خارج الشركة بطريقة حسنة ومراعاة القواعد الاجتماعية وعدم الإضرار بسمعة الشركة.
4 – يتوجب على الموظف رفع التقارير إلى رئيس قسمه إذا طلب منه ذلك.
5 – عدم ترك العمل أو إنهائه إلا بعد موافقة مسبقة من رئيس المباشر.
6 – عدم الانشغال بأعمال أخرى غير متعلقة بالوظيفة خلال ساعات العمل.
7 – العمل في أيام العطل أو خارج أوقات الدوام الرسمي إذا طلب ذلك منه من قبل صاحب العمل وذلك في حالات الضرورة والحاجة الملحة.
8 – العناية بسلامة ممتلكات الشركة من أجهزة ومعدات وسيارات وغيرها وعدم استخدامها لأغراض شخصية أو أغراض غير أغراض العمل وحماية الممتلكات التي تتيحها الشركة له الأداء عمله من الاهتلاك أو الإضرار.
9 – عدم العمل مع شركة أو جهة أخرى خلال وبعد انتهاء ساعات عمله دون موافقة خطية من صاحب العمل.
10 – الحفاظ على سرية المعلومات الخاصة بالشركة وعدم إفشائها لأية جهة أو شخص أو شركة أخري إلا بأمر من سلطة قضائية مخولة.
11 – الالتزام الوارد في الفقرة السابقة يمتد لمدة لا تقل عن 3 سنوات بعد انتهاء مدة هذا العقد أو فسخه لأي سبب من الأسباب.
Translation - English Employee’s Duties:
1- Carrying out his or her work fully, and serving the employer with loyalty, honesty, and effort by working at the highest level of job performance.
2- Complying with the employer’s rules and instructions, avoiding any violation of such rules and instructions, and complying with the Employee Handbook.
3- Adhering to considerate treatment of employees inside the company and persons outside the company, bearing in mind social norms and avoiding harm to the company’s reputation.
4- The employee is required to submit reports to his or her department head if requested to do so.
5- Not leaving or ceasing work except with the prior written consent of his or her direct supervisor.
6- Not engaging in other, unrelated business during working hours.
7- Working on holidays and outside official working hours if asked to do so by the employer in cases of necessity and urgent need.
8- Attending to the safety of the Company’s property, to include devices, equipment, vehicles, and other items, as well as not using Company property for personal or non-work purposes, and protecting against damage or destruction to property that the Company provides for the performance of the employee’s work.
9- Not working for another company or entity during or after work hours without the employer’s written consent.
10- Preserving the confidentiality of Company information and not disclosing it to any entity, person, or other company except as ordered by an authorized judicial authority.
11- The obligation set forth in the above paragraph shall apply for at least 3 years following this contract's expiry or its dissolution regardless of reason.

1 – سماع تقرير مجلس الإدارة عن أعمال العامين 2012/2013 ومناقشته.
2 – سماع تقرير مفوض المراقبة عن أعمال وحسابات العامين 2012/2013.
3 – الاطلاع على حسابات الشركة وميزانيتها وحساب الأرباح والخسائر للعامين 2012/2013 والمصادقة عليه.
4 – إبراء ذمة رئيس وأعضاء مجلس الإدارة عن أعمال للعامين 2012/2013.
5 – تعيين مفوض مراقبة أساسي لأعمال سنة 2014 وتحديد مخصصاته التأكيد من قبوله المهمة.
6 – انتخاب مجلس إدارة جديدة.
7 – منح رئيس وأعضاء مجلس الإدارة الترخيص المنصوص عليه في المادتين 158 و159 من قانون التجارة.
8 – موضوعات متفرقة طارئة.
ترأس الاجتماع السيد xxxx وعين السيد xxxx مدققا للأصوات وعهد إلى المحامي xxxx بأعمال أمانة السر فوافق الجميع على الأعمال الموكلة إليهم.
نظمت على الأثر ورقة حضور أي لائحة تفصيلية تبين أسماء المساهمين الحاضرين والممثلين مع عدد الأسهم التي يملكونها وجرى التدقيق فيها من قبل مكتب الجمعية.
أعلن رئيس الجلسة على ضوء ذلك أن النصاب القانوني المنصوص عليه في قانون التجارة وفي النظام الأساسي متوفر لغاية انعقاد هذه الجمعية وبالتالي يكون رأسمال الشركة ممثلا حسب الأصول المرعية والجمعية الحاضرة منعقدة بصورة قانونية.

At the invitation of the Board of Directors, the shareholders in XXXX Company met on xx/xx/2014 as the ordinary general assembly at the company’s head office in Beirut to discuss and decide the following agenda items:
1. Hearing and discussing the Board of Directors report on business in 2012 and 2013.
2. Hearing the statutory auditor’s report on business and accounts for 2012 and 2013.
3. Reviewing and ratifying the company’s accounts, balance sheet, and profit and loss statement for 2012 and 2013.
4. Discharging the obligations of the Board of Directors chairman and members for business in 2012 and 2013.
5. Appointing a principle statutory auditor for 2014, determining said auditor’s allowances, and ascertaining said auditor’s acceptance of the assignment.

7. Granting the Board of Directors chairman and members the authorization stipulated in Articles 158 and 159 of the Code of Commerce.
8. Various urgent matters.
xxxx chaired the meeting and appointed xxxx as vote counter. He entrusted the work of secretary to the attorney xxxx. Everyone accepted the duties assigned to them.
Thereupon, an attendance sheet was drawn up, meaning a detailed list showing the names of the shareholders present and representatives, with the number of shares they own. Verification was conducted by the Assembly bureau.
In light thereof, the session’s chairman announced that the quorum stipulated in the Code of Commerce and the Articles of Association was fulfilled for the purpose of convening the Assembly. Accordingly, the company’s capital was duly represented, and the present Assembly was legally convened.
