1. The Beneficiary hereby declares and directs that the Nominee shall hold the Said Shares upon the following trusts:
a. Upon trust either to retain the Said Shares or at the direction of the Beneficiary to transfer the same in the name of the Beneficiary or to transfer the Said Shares, to such person or persons as may be indicted by the Beneficiary and subject to such terms as the Beneficiary may deem fit.
b. To pay the proceeds of the sale of the Said Shares, as aforesaid or otherwise to the Beneficiary.
c. To pay over the Beneficiary any dividend becoming payable in respect of the Said Shares or any other amount to which the holder of such Shares may be entitle to, either during the existence of the company, or upon its winding up, and as long as the said Nominee shall continue to appear as the Registered holder of the Said Shares, or any part thereof.
d. To exercise any other right or power, with regard to the Said Shares, after consultation and in accordance with the instructions of the Beneficiary, which right or power may be exercised by the holder of such Shares at the material time, including any right or power with regard to the allotment of new Shares, the issue of bonus Shares, the distribution of any property of the above company “in specie” or otherwise.
e. To attend exercise all available rights and vote at any General Meeting of the Company in respect of the Said shares, after consultation with the beneficiary, but in any case in a manner not prejudicial to the interests of the Beneficiary with respect to any single decision.
f. To execute all proxies or other documents, which shall be necessary or proper to enable the Beneficiary, his personal representatives or assigns, to attend and vote at a General meeting of the Company in the place of the Nominee.
g. To furnish the Beneficiary promptly with notices or other documents served by the above Company on its Shareholders including its accounts.
h. Subject as aforesaid to hold the Said Shares in Trust for the Beneficiary absolutely.

Translation - Russian
1. Настоящим Выгодоприобретатель заявляет и распоряжается о том, чтобы Номинальный собственник владел Вышеупомянутыми акциями на следующих правовых основаниях, правах, договоренностях и условиях:
a. Оставить за собой Вышеупомянутые акции и являться их доверительным управляющим либо по указанию Выгодоприобретателя передать их от имени Выгодоприобретателя, либо лично передать Вышеупомянутые акции лицу или лицам, о которых может сообщить Выгодоприобретатель, и при условии выполнения условий, которые Выгодоприобретатель может посчитать подходящими.
b. Выплатить Выгодоприобретателю выручку от продажи Вышеупомянутых акций в соответствии с вышеизложенным или иначе.
c. Выплачивать Выгодоприобретателю любые дивиденды, подлежащие оплате в отношении Вышеупомянутых акций, или любую другую сумму, на получение которой владелец таких Акций может иметь право, либо в течение срока существования компании, либо в случае ее ликвидации, и до тех пор, пока вышеупомянутый Номинальный собственник будет являться Зарегистрированным владельцем Вышеупомянутых акций либо любой их части.
d. Осуществлять любые другие права или полномочия в отношении Вышеупомянутых акций после их согласования с Выгодоприобретателем и в соответствии с его указаниями, которые владелец таких Акций может осуществлять в соответствующее время, включая любые права или полномочия в отношении распределения новых Акций, выпуска бесплатных Акций, распределения любого имущества вышеназванной компании в денежной форме или иначе.
e. Присутствовать, использовать все доступные права и голосовать на любых Общих собраниях Компании в отношении Вышеупомянутых акций после согласования с Выгодоприобретателем, но в любом случае образом, не ущемляющим интересы Выгодоприобретателя в отношении любых отдельных решений.
f. Подписывать всяческие доверенности или иные документы, которые понадобятся или будут целесообразными для того, чтобы Выгодоприобретатель, его личные представители или правопреемники могли присутствовать и голосовать на Общих собраниях Компании вместо Номинального собственника.
g. Своевременно предоставлять Выгодоприобретателю уведомления или прочие документы, вручаемые вышеуказанной Компанией своим Акционерам, включая ее отчетность.
h. С учетом вышесказанного являться Доверительным управляющим Вышеупомянутых акций исключительно от имени Выгодоприобретателя.
