A.- Síntesis de las principales etapas a cumplir
1.- Aprobar los Estados Contables de la Sociedad.-
2.- Una vez determinada la fecha de la Disolución, el Directorio deberá convocar a una Asamblea General Extraordinaria de Accionistas donde se resolverá la Disolución y Liquidación de la Sociedad.-
3.- A fin de facilitar el proceso de Liquidación, se recomienda que la Sociedad haya finalizado sus negocios pendientes; realizado su Stock de Mercaderías; efectivizado el cobro de sus créditos pendientes (en la medida de lo posible); cancelado sus pasivos; rescindido su contrato de Usuaria de Zona Franca; clausuradas sus Cuentas Bancarias; rescindidos los contratos de Seguros y los correspondientes a Servicios Públicos que se encuentren a su nombre.
4.- En la Asamblea de Accionistas a celebrarse, se designará un Liquidador quien, en un plazo de 30 días de asumido el cargo deberá presentar el Estado Patrimonial de la Sociedad, con su respectivo Inventario.
En caso de que la Sociedad ya no tenga Activos ni Pasivos, se podría designar como Liquidador a algún miembro de nuestro Estudio, a efectos de realizar los trámites pertinentes de clausura de la Sociedad. Si el Liquidador fuera otra persona, podría ser conveniente el otorgamiento de Poderes a nuestro Estudio a efectos de realizar los trámites correspondientes.
5.- Una vez aprobados los Estados presentados por el Liquidador, si la Sociedad ya no tiene ni Activos ni Pasivos, se convocará a una nueva Asamblea General Extraordinaria de Accionistas, la cual resolverá la distribución que corresponda a los Accionistas y la cancelación y destrucción de los Títulos en circulación.
6.- La misma Asamblea dispondrá la iniciación de los trámites formales para la cancelación de la personería jurídica de la Sociedad lo cual implicará darla de baja en los distintos Organismos Fiscales y de Contralor: Dirección General Impositiva, Banco de Previsión Social, Ministerio de Trabajo y Seguridad Social, Auditoría Interna de la Nación y Banco de Seguros del Estado, obteniendo los Certificados Especiales por clausura de actividades.
7.- Cumplido lo anterior se procederá a la inscripción de la Disolución y Liquidación de la Sociedad ante el Registro Nacional de Comercio, lo cual implicará el cese de la personería jurídica y se realizarán las publicaciones legales en el Diario Oficial y otro Diario.-
8.- La demora en la obtención de los Certificados Especiales ante los Organismos fiscales y de Contralor (DGI y BPS), suele demorar aproximadamente un año.-
B.- Gastos y Honorarios
Los Gastos (Timbres y Tasas Registrales, Publicaciones, Teléfono, Courier, etc.), más los Gastos y Honorarios Notariales (Testimonios de Acta y Protocolizaciones) más los Honorarios del Estudio por el asesoramiento general, redacción de Actas, trámites y coordinación (sin comprender la eventual actuación como Liquidadores), se estiman en U$S 2.000 IVA.

A.- Synthesis of the main steps to comply
1.- Approve the Accounting Statements.
2.- Once the date of the dissolution is settled, the Board of Directors shall call a Shareholder’s General Extraordinary Meeting, in which the Dissolution and the Liquidation of the company shall be resolved.
3.- In order to make the process of Liquidation easier, it is well recommended that the Company has finished his pending transactions as well as established its Stock on Hand, effectuated the collection of pending debts (if possible), cancelled its liabilities, terminated its contract of User of Free Trade Zone, terminated its contracts of Insurance and the corresponding to the Public Bills in which the company is entitled.
4.- In the Shareholder’s Meeting to be held, a Liquidator shall be appointed who shall present the Statement of Affairs of the company with its corresponding inventory within 30 days after having been in charge,.
In case the Company has no Assets nor Liabilities, any member of our office shall be appointed as Liquidator, for the purposes of carrying out the proceedings corresponding to the winding up of the company. If another person is appointed as Liquidator, it may be convenient to grant Powers of Attorney to our Office in order to carry out the corresponding proceedings.
5.- Once the Statements presented by the Liquidator are approved, if the Company has already no Assets nor Liabilities, a new Shareholder’s General Extraordinary Meeting shall be called, which shall resolve the exact distribution to every Stockholder and the cancellation and destruction of the circulation Bonds.
6.- Such Meeting shall determine the beginning of the formalities to cancel the legal entity of the Company which shall imply to write it off from different Taxing and Control Organizations: Dirección General Impositiva (General Taxation Board), Banco de Previsión Social (Social Welfare Bank), Ministerio de Trabajo y Seguridad Social (Ministry of Labour and Social Security), Auditoría Interna de la Nación (Internal Auditing Office of the Nation) and Banco de Seguros del Estado (State Insurance Bank), gaining the Special Certificates for winding up.
7.- After complying the foregoing, the entry of Dissolution and Liquidation of the Company shall be carried out before the National Trade Registry, which shall imply the cancellation of the legal entity, and such proceedings shall be published on the Official Gazette and another newspaper.
8.- The obtaining of such Special Certificates before the Taxation and Control Organizations (General Taxation Board and Social Welfare Bank) takes approximately one year.
B.- Expenses and Professional Fees
Expenses (Revenue Stamps and Registry Taxes, Publications, Telephone calls, Courier, etc.), plus Notarial Expenses and Fees (Authentic Copy of Record and Entry in a Notarial Record) plus the Office Professional Fees for general advice, drawing up of Record, proceedings and coordination (not including the possible appointment as Liquidators), shall amount to [US]$ 2.000 IVA.
