FOR CONSULTANCY SERVICES
This AGREEMENT is made between
__________________, a company incorporated under the laws of Ukraine and having its statutory seat in Kyiv at _______________, Ukraine, hereinafter referred to as “COMPANY”;
and
___________, a company registered in England and Wales (company number _________), located at ______________ hereinafter referred to as “CONSULTANT”,
hereinafter individually referred to as Party or collectively referred to as the Parties
WHEREAS:
A. CONSULTANT is in the business of providing research and advisory services in the area of Energy Markets and has considerable skill, knowledge and experience in that field;
B. In reliance upon that skill, knowledge and experience, ___________ and is willing to engage with the CONSULTANT for the purpose of receiving such consultancy services as more particularly set out in this Agreement.
NOW IT IS HEREBY AGREED AS FOLLOWS:
1. In this Agreement all capitalized words and expressions will have the meanings ascribed to them in the recitals above or in Appendix 1 – General Terms and Conditions attached hereto.
2. The Services requested from the CONSULTANT under this Agreement shall be provided in accordance with the terms and conditions specified below and attached to this Agreement (“the Terms and Conditions”), together with any amendments thereto which may be agreed between _________ and the CONSULTANT.
The Terms and Conditions shall consist of the following documents, which are attached hereto:
Appendix 1 – General Terms and Conditions
Appendix 2 – Scope of Work (hereinafter – “SOW”)
Appendix 3 – Schedule of Prices and Rates
Appendix 4 – Act of Delivery and Acceptance of Services
Appendix 5 – _______ Life Saving Rules
In the event of ambiguity or contradiction between the Appendices, they shall be given precedence in the order listed.
3. This Agreement shall apply from 9th day of September, 2011 which date shall be the effective date of the Agreement.
4. The duration of the Agreement shall be until the complete fulfilment of the obligations under this Agreement by each Party. The rates and prices set out in this Agreement shall be fixed for the duration of the Agreement.
5. The Parties may, at any time, amend this Agreement or any part thereof (including the Terms and Conditions) in writing signed by duly authorized signatories of the Parties.
6. Any notice under this Agreement shall only be effective if given in English and in writing, and delivered by hand or sent by pre-paid courier or registered post to a Party at the following address or such other address that such Part may from time to time designate by written notice to the other.

10. This Agreement constitutes the entire agreement between the Parties hereto and supersedes all prior negotiations, representations or agreements related to the Agreement, either written or oral. No amendments to the Agreement shall be effective unless evidenced in writing and signed by the Parties to the Agreement.

Appendix – 1 GENERAL TERMS AND CONDITIONS
ARTICLE 1 – DEFINITIONS
The following definitions shall apply to the CONTRACT except where the context otherwise requires.
1.1 AFFILIATE (in respect of the COMPANY) means
(i) _________, an English company, and any company other than the COMPANY which is for the time being directly or indirectly affiliated with ____________. A particular company is: (A) directly affiliated with __________ if the latter holds/hold 50% (fifty per cent) or more of the voting shares or similar entitlements carrying the right to vote at a general meeting (or its equivalent) of the particular company, and (B) indirectly affiliated with ___________ if a series of companies can be specified, beginning with ____________ and ending with the particular company, so related that each company of the series, except ______________, is directly affiliated with one or more companies earlier in the series where direct affiliation shall have the same meaning as described under sub-clause 1.1.(i).(A); and
(ii) any company which is for the time being managed or operated by the COMPANY or by a company defined in (i) above; or to which the COMPANY or a company defined in (i) above is providing services under a technical services agreement, provided such companies are entitled to use the DELIVERABLES only for the internal business purposes of that company. The shareholders or partners in such a company which are neither the COMPANY or a company defined in (i) (“Partners”) shall not be considered an AFFILIATE for the purpose of this CONTRACT. Furthermore in either case of (i) or (ii) any entity that CONSULTANT is prohibited by law or regulation to directly or indirectly trade or otherwise deal with is expressly excluded from the definition of AFFILIATE
1.1.a COMPANY shall ensure that each AFFILIATE and their contractors and agents that may access the DELIVERABLES, is aware of and complies with the conditions relating to the use of the DELIVERABLES contained in this CONTRACT. Further, any use of the DELIVERABLES in breach of this Agreement by AN AFFILIATE, their employees, their contractors, subcontractors, or agents shall be deemed to be a material breach by the COMPANY and COMPANY hereby undertakes to be liable to CONSULTANT for any such breach in accordance with this Agreement.
1.1.b COMPANY undertakes that Partners shall not have any access to DELIVERABLES without the prior written consent of CONSULTANT. In the event of a breach of this sub-clause 1.1.b, COMPANY shall indemnify CONSULTANT for any losses, damages, expenses incurred by CONSULTANT arising out of this breach.
1.1.c. In the event that AN AFFILIATE ceases to fall under the foregoing definition then such entity shall immediately cease any and all use of DELIVERABLES
AFFILIATE (in respect of the CONSULTANT) shall mean a company of which more than fifty percent (50%) of the outstanding voting stock is directly or indirectly owned by the CONSULTANT; or which directly or indirectly owns more than fifty percent (50%) of the outstanding voting stock of the CONSULTANT; or of which more than fifty percent (50%) of the outstanding stock is directly or indirectly owned by one and the same company which also directly or indirectly owns more than fifty percent (50%) of the outstanding voting stock of the CONSULTANT.
1.2 COMPANY GROUP shall mean the COMPANY, its AFFILIATES, and its and their respective PERSONNEL, but shall not include any member of the CONSULTANT GROUP;
1.3 CONFIDENTIAL INFORMATION means any confidential business, scientific or technical information, including the nature of the CONTRACT and the DELIVERABLES that is disclosed by either party in the course of providing and/or receiving the SERVICES;
1.4 CONTRACT shall mean this Agreement for Consultancy Services;
1.5 CONTRACT PRICE shall mean the total amount due to the CONSULTANT under this CONTRACT, as further specified in the Appendix 3 – Schedule of Prices and Rates;
1.6 CONSULTANT GROUP shall mean the CONSULTANT, its AFFILIATES, and its and their respective PERSONNEL but shall not include any member of the COMPANY GROUP;
1.7 DELIVERABLES shall mean any items as defined in the SOW to be delivered by the CONSULTANT to the COMPANY as a result of the SERVICES to be performed by the CONSULTANT under this CONTRACT;
1.8 PERSONNEL shall mean all individuals, employees, officers, directors, servants, consultants, agents or sub-contractors (including agency personnel) acting for or on behalf of the relevant party or otherwise under the relevant party's direction and control with respect to the provision of SERVICES. The term PERSONNEL will consist of COMPANY PERSONNEL or CONSULTANT PERSONNEL as the context requires;
1.9 SERVICES shall mean the work to be carried out and services to be performed by the CONSULTANT in accordance with the provisions of the CONTRACT and as more particularly specified in the SOW;
1.10 VARIATION shall mean such instructions or adjustments as set out in Article 5.
ARTICLE 2 – PERFORMANCE OF THE SERVICES
2.1 The SERVICES which the CONSULTANT is required to carry out under the CONTRACT are specified in the SOW.
2.2 The CONSULTANT shall provide all management, supervision, PERSONNEL, materials and equipment (except materials and equipment provided by the COMPANY), and all other things, whether of a temporary or permanent nature, so far as the necessity for providing the same is specified in or is reasonably to be inferred from the CONTRACT.
2.3 The CONSULTANT shall carry out all of its obligations under the CONTRACT and shall perform the SERVICES with all due care and diligence and with the skill to be expected of a reputable contractor experienced in the types of work to be carried out under the CONTRACT.
ARTICLE 3 – PERSONNEL OF THE CONSULTANT
3.1 The CONSULTANT warrants that the CONSULTANT has the experience and capability including sufficient supervisors and other PERSONNEL to perform the SERVICES. The CONSULTANT further warrants that all PERSONNEL employed on the provision of the SERVICES shall for the work which they are required to perform be reasonably competent, properly qualified, skilled and experienced in accordance with good industry practice.
3.2 The COMPANY may instruct the CONSULTANT to remove from the provision of SERVICES and replace, at no cost to the COMPANY, any person engaged in performance of the SERVICES who in the reasonable opinion of the COMPANY is either:
(a) incompetent or lacks appropriate experience or qualification or negligent in the performance of his or her duties; or
(b) engaged in activities which are contrary or detrimental to the interests of the COMPANY; or
(c) not conforming to relevant safety procedures described in Article – Health, Safety, Security and Environment or persists in any conduct likely to be prejudicial to safety, health or the environment.
Any such person shall be removed forthwith from the provision of SERVICES. Any person removed for any of the above reasons shall not be engaged again in the provision of SERVICES either directly or indirectly without the prior approval of the COMPANY.
The CONSULTANT shall provide a suitable replacement for any such person as soon as practicable or such time as may be agreed between the COMPANY and CONSULTANT.
ARTICLE 4 – CONFIDENTIAL INFORMATION AND INTELLECTUAL PROPRIETARY RIGHTS
4.1 Each party shall, and shall cause its PERSONNEL to, keep secret, and not to disclose to third parties any CONFIDENTIAL INFORMATION, and to use such CONFIDENTIAL INFORMATION only for the purposes of providing/receiving the SERVICES. Neither party (“Discloser”) shall disclose CONFIDENTIAL INFORMATION to any third party without authorisation from the respective other party (“Recipient”) provided that neither party shall have any obligation as to CONFIDENTIAL INFORMATION that: (i) is previously known to the Recipient prior to or at the time of disclosure; (ii) is independently developed by the Recipient without the use of or reference to the CONFIDENTIAL INFORMATION; (iii) is lawfully obtained from a third party without restriction on use or disclosure; (iv) is or becomes part of the public domain through no fault of the Recipient OR Recipient’s PERSONNEL; (v) is released by Discloser in writing. Furthermore Recipient may disclose CONFIDENTIAL INFORMATION required to be disclosed pursuant to any judicial or governmental requirement or order, provided that the Recipient gives the Discloser reasonable prior notice in order to contest such requirement or order.
4.2 The CONTRACT does not grant or transfer to the COMPANY or its AFFILIATES or COMPANY PERSONNELL any rights to the CONSULTANT’s proprietary data or software other than as expressly provided in the CONTRACT.
The COMPANY acknowledges and agrees that the DELIVERABLES including CONSULTANT’s data and all materials associated with the DELIVERABLES, including without limitation methods, processes, techniques, formulas, trade secrets, research, reports, technical data, know-how, and forecasts, used or produced by CONSULTANT in connection with the DELIVERABLES, are the property of the CONSULTANT and is protected by US, U.K. and international copyright law and all other applicable intellectual property laws. The DELIVERABLES, including any intellectual property rights therein, are and shall remain the property of the CONSULTANT.
4.3 Subject to payment of the CONTRACT PRICE, the CONSULTANT hereby grants the COMPANY a non-assignable, non-transferable, royalty free right and licence for the COMPANY and its AFFILIATES to use the DELIVERABLES for their internal business purposes only for as long as the COMPANY is in accordance with this Agreement. The DELIVERABLES are solely for the benefit of the COMPANY and its AFFILIATES and shall be kept confidential and in no event shall the COMPANY sell, lease, transfer, sublicense, or otherwise make available or permit access to the DELIVERABLES or any portion thereof to any third party (other than an AFFILIATE).
4.4 THE COMPANY may disclose the DELIVERABLES on a confidential basis only to third parties directly involved with the COMPANY or its AFFILIATES in specific projects, provided (i) prior written consent of the CONSULTANT is obtained except that such consent shall not be necessary for disclosure of DELIVERABLES to COMPANY’s contractors working as internal personnel of COMPANY or its Affiliates at COMPANY established positions; (ii) such third parties are under a duty of confidentiality; (iii) the COMPANY shall be fully responsible and liable for such third parties’ use of the DELIVERABLES and compliance with the obligation to keep such DELIVERABLES confidential; the COMPANY shall be fully responsible and liable for its AFFILIATES’ compliance with the terms and conditions of the CONTRACT. (iv) COMPANY shall indemnify and keep indemnified the CONSULTANT against any damages, losses, costs arising out of or in relation to any breach of this CONTRACT by any third party and/or any AFFILIATE.
4.5 COMPANY may use the DELIVERA|BLES for its internal business purposes only, to create manuals, maps, papers, reports, documents and other materials which are not primarily copies of the DELIVERABLES, but may be derivations thereof, provided such derivations: (i) contain insubstantial amounts of Deliverables which cannot be identified as CONSULTANT’s DELIVERABLES; (ii) contain significant enhancements, modifications, aggregations, manipulated results of analysis or other features not contained in the DELIVERABLES; and give credit to CONSULTANT in the following form: “Includes deliverables supplied by IHS, its affiliates and subsidiary companies; Copyright (publication year), all rights reserved.”; (iii) are not made available on COMPANY’s its AFFILIATES’ websites; (iv) do not have independent commercial value; and (v) do not compete with CONSULTANT Deliverables.
COMPANY hereby undertakes that the DELIVERABLES will be accessed by its employees or contractors only through COMPANY's own network and that upon expiry or termination of employment or contract of any of the users of the DELIVERABLES, such users will no longer be able to access the DELIVERABLES through the COMPANY's network. COMPANY also undertakes to apply the same measures used to protect its own deliverables, in order to prevent employees or contractors from taking away or disclosing DELIVERABLES obtained under this Agreement
4.6 The CONSULTANT shall not disclose to third parties recommendations or conclusions specific to the COMPANY or its AFFILIATES contained in the SERVICES or DELIVERABLES, if any. However, the COMPANY acknowledges that the CONSULTANT may, on behalf of other clients, develop recommendations or conclusions similar to those provided to the COMPANY.
4.7 Any intellectual property rights pre-existing in the CONFIDENTIAL INFORMATION shall remain fully vested in the owner of such CONFIDENTIAL INFORMATION.
ARTICLE 5 – VARIATIONS AND SUSPENSION
5.1 The COMPANY has the right to issue instructions to the CONSULTANT at any time to make reasonable VARIATIONS to the SERVICES, which are within the reasonable capability and resources of the CONSULTANT. In the event of a VARIATION the Parties shall review the CONTRACT PRICE and schedule, and shall mutually agree such adjustment as may be fair and reasonable having due regard to all relevant factors. On reaching agreement the Parties shall execute a supplementary agreement reflecting the revised SERVICES content, price and schedule.
5.2 The COMPANY shall have the right, by notice to the CONSULTANT, to suspend the SERVICES or any part thereof. Unless the suspension arises as a result of any material default on the part of the CONSULTANT, the CONSULTANT shall be reasonably reimbursed for the notice period.

КОНСУЛЬТАЦІЙНИХ ПОСЛУГ
Цей ДОГОВІР укладено між
______________, товариством, створеним за законодавством України, зареєстрований офіс якого розташований за адресою: ______________, що надалі іменується „ТОВАРИСТВО”;
та
____________, компанією, зареєстрованою в Англії та Уельсі (номер компанії _________), розташованою за адресою: __________, що надалі іменується „КОНСУЛЬТАНТ”,
надалі кожен окремо іменується „Сторона”, а разом - „Сторони”.
ОСКІЛЬКИ:
A. КОНСУЛЬТАНТ надає дослідницькі та консультаційні послуги у сфері Енергетичних Ринків і має значні навички, знання та досвід у цій сфері;
B. Покладаючись на такі навички, знання та досвід, _______ бажає співпрацювати з КОНСУЛЬТАНТОМ з метою одержання таких консультаційних послуг, як більш детально викладено в цьому Договорі.
ТАКИМ ЧИНОМ, БУЛО ДОМОВЛЕНО ПРО НАСТУПНЕ:
1. У цьому Договорі всі слова та вирази, які пишуться з великої літери, матимуть значення, надане їм у преамбулі, поданій вище, або в Додатку 1 – Загальні умови, доданому до цього Договору.
2. Послуги, які замовляються у КОНСУЛЬТАНТА за цим Договором, надаються відповідно до умов, зазначених нижче та доданих до цього Договору (надалі - „Умови”), разом із будь-якими змінами до нього, про які може бути домовлено між _______ і КОНСУЛЬТАНТОМ.
Умови складаються з наступних документів, які додаються до цього Договору:

У випадку двозначності або суперечностей між Додатками вони мають переважну силу відповідно до порядку, в якому вони представлені.
3. Цей Договір застосовується з 9 вересня 2011 року, і ця дата є датою набрання чинності цим Договором.
4. Строк дії Договору триватиме до повного виконання кожною Стороною своїх зобов’язань за цим Договором. Тарифи та ціни, зазначені в цьому Договорі, встановлюються на строк дії цього Договору.
5. Сторони можуть у будь-який час вносити зміни до цього Договору або будь-якої його частини (в тому числі до Умов) у письмовому вигляді, підписані належним чином уповноваженими особами Сторін.
6. Будь-яке повідомлення за цим Договором набирає чинності лише тоді, якщо воно представлене англійською мовою в письмовій формі та надається шляхом особистого вручення, або передплаченої кур’єрської відправки, або рекомендованим листом Стороні за наступною адресою або такою іншою адресою, яку така Сторона може визначити шляхом направлення письмового повідомлення іншій Стороні.

10. Цей Договір становить цілісну домовленість між Сторонами та замінює собою всі попередні домовленості, заяви чи угоди, пов’язані з цим Договором, як письмові, так і усні. Жодні зміни та доповнення до цього Договору не мають юридичної сили, якщо не були засвідчені в письмовій формі та підписані Сторонами цього Договору.

Додаток – 1 ЗАГАЛЬНІ УМОВИ
СТАТТЯ 1 – ВИЗНАЧЕННЯ
Наступні визначення застосовуються по відношенню до ДОГОВОРУ, за винятком випадків, коли інше може вимагатися за контекстом.
1.1 АФІЛІЙОВАНА ОСОБА (по відношенню до ТОВАРИСТВА) означає
(i) „____________” [__________], англійську компанію, та будь-яку компанію, іншу за ТОВАРИСТВО, яка у відповідний час є прямо чи опосередковано афілійованою з „__________”. Певна компанія: (A) є прямо афілійованою з „__________”, якщо остання володіє 50% (п’ятдесятьма відсотками) або більшою кількістю акцій із правом голосу або аналогічних прав, які уповноважують голосувати на загальних зборах (або аналогічному заході) певної компанії, та (B) є опосередковано афілійованою з „__________”, якщо можна окреслити перелік компаній, починаючи з „______________” і закінчуючи такою певною компанією, пов’язаних таким чином, що кожна компанія з такого переліку, за винятком „__________”, прямо афілійована з однією або кількома компаніями, які зазначені в такому переліку раніше, і при цьому прямі афілійовані відносини мають те саме значення, що викладене в пункті 1.1.(i).(A); та
(ii) будь-яку компанію, якою в певний час управляє або яку експлуатує ТОВАРИСТВО або будь-яка компанія, визначена вище в пункті (i); або якій ТОВАРИСТВО або будь-яка компанія, визначена вище в пункті (i), надає послуги відповідно до договору про надання технічних послуг, за умови, що такі компанії мають право використовувати РЕЗУЛЬТАТИ ПОСЛУГ лише для внутрішніх ділових цілей такої компанії. Акціонери або партнери в такій компанії, які е є ані ТОВАРИСТВОМ, ані компанією, визначеною вище в пункті (i) (надалі - „Партнери”), не вважаються АФІЛІЙОВАНОЮ ОСОБОЮ для цілей цього ДОГОВОРУ. Більш того, в обох випадках - (i) або (ii) – будь-яка юридична особа, з якою КОНСУЛЬТАНТУ заборонено за законом або положенням прямо чи опосередковано вести торгівельну діяльність або співпрацювати в інший спосіб, чітко виключається з визначення АФІЛІЙОВАНОЇ ОСОБИ.
1.1.a ТОВАРИСТВО забезпечує, щоб кожна АФІЛІЙОВАНА ОСОБА та їхні підрядники й агенти, що мають доступ до РЕЗУЛЬТАТІВ ПОСЛУГ, були обізнані з та дотримувалися умов, пов’язаних із використанням РЕЗУЛЬТАТІВ ПОСЛУГ, які містяться в цьому ДОГОВОРІ. До того ж, будь-яке використання РЕЗУЛЬТАТІВ ПОСЛУГ із порушенням цього ДОГОВОРУ будь-якою АФІЛІЙОВАНОЮ ОСОБОЮ, їхніми працівниками, підрядникам, субпідрядниками або агентами вважається істотним порушенням з боку ТОВАРИСТВА, і ТОВАРИСТВО цим зобов’язується нести відповідальність перед КОНСУЛЬТАНТОМ за будь-яке таке порушення відповідно до цього Договору.
1.1.b ТОВАРИСТВО зобов’язується забезпечити, щоб Партнери не мали доступу до РЕЗУЛЬТАТІВ ПОСЛУГ без попередньої письмової згоди КОНСУЛЬТАНТА. У випадку порушення цього пункту 1.1.b ТОВАРИСТВО відшкодовує КОНСУЛЬТАНТУ будь-які втрати, збитки та витрати, понесені КОНСУЛЬТАНТОМ внаслідок такого порушення.
1.1.c. У випадку, якщо АФІЛІЙОВАНА ОСОБА припиняє підпадати під вищенаведене визначення, тоді така юридична особа негайно припиняє будь-яке використання РЕЗУЛЬТАТІВ ПОСЛУГ.
АФІЛІЙОВАНА ОСОБА (по відношенню до КОНСУЛЬТАНТА) означає компанію, понад 50 (п’ятдесят) відсотків непогашених акцій із правом голосу якої прямо або опосередковано належить КОНСУЛЬТАНТУ; або яка прямо чи опосередковано володіє понад 50 (п’ятдесятьма) відсотками непогашених акцій КОНСУЛЬТАНТА із правом голосу; понад 50 (п’ятдесят) відсотків непогашених акцій із правом голосу якої прямо або опосередковано належить тій самій компанії, якій також, прямо чи опосередковано, належить понад 50 (п’ятдесят) відсотків непогашених акцій КОНСУЛЬТАНТА з правом голосу.
1.2 ГРУПА ТОВАРИСТВА означає ТОВАРИСТВО, його АФІЛІЙОВАНИХ ОСІБ та його та їхній відповідний ПЕРСОНАЛ, але не включає жодного члена ГРУПИ КОНСУЛЬТАНТА;
1.3 КОНФІДЕНЦІЙНА ІНФОРМАЦІЯ означає будь-яку конфіденційну ділову, наукову або технічну інформацію, включаючи характер ДОГОВОРУ та РЕЗУЛЬТАТИ ПОСЛУГ, яка розкрита будь-якою стороною в процесі надання та/або одержання ПОСЛУГ;
1.4 ДОГОВІР означає цей Договір про надання консультаційних послуг;
1.5 ДОГОВІРНА ЦІНА означає загальну суму, що підлягає виплаті КОНСУЛЬТАНТУ за цим ДОГОВОРОМ, як детальніше зазначено в Додатку 3 – „Прейскурант”;
1.6 ГРУПА КОНСУЛЬТАНТА означає КОНСУЛЬТАНТА, його АФІЛІЙОВАНИХ ОСІБ та його та їхній відповідний ПЕРСОНАЛ, але не включає жодного члена ГРУПИ ТОВАРИСТВА;
1.7 РЕЗУЛЬТАТИ ПОСЛУГ означає будь-які матеріали, визначені в Обсязі Робіт, які мають бути надані КОНСУЛЬТАНТОМ ТОВАРИСТВУ в результаті ПОСЛУГ, які мають бути надані КОНСУЛЬТАНТОМ відповідно до цього ДОГОВОРУ;
1.8 ПЕРСОНАЛ означає всіх фізичних осіб, працівників, посадових осіб, директорів, службовців, консультантів, агентів або субпідрядників (включаючи посередницький персонал), що діють за та від імені відповідної сторони або в інший спосіб за вказівкою відповідної сторони та під її контролем по відношенню до надання ПОСЛУГ. Термін ПЕРСОНАЛ складатиметься з ПЕРСОНАЛУ ТОВАРИСТВА або ПЕРСОНАЛУ КОНСУЛЬТАНТА, як того вимагатиме контекст;
1.9 ПОСЛУГИ означає роботу, що має бути виконана, та послуги, що мають бути надані КОНСУЛЬТАНТОМ у відповідності до положень ДОГОВОРУ та детальніших положень, викладених в Обсязі Робіт;
1.10 ЗМІНА означає такі інструкції та коригування, які викладені в Статті 5.
СТАТТЯ 2 – НАДАННЯ ПОСЛУГ
2.1 ПОСЛУГИ, які КОНСУЛЬТАНТ повинен надати відповідно до ДОГОВОРУ, зазначені в Обсязі Робіт.
2.2 КОНСУЛЬТАНТ надає всі матеріали та обладнання, пов’язані з управлінням, наглядом і ПЕРСОНАЛОМ (за винятком матеріалів та обладнання, наданих ТОВАРИСТВОМ), а також будь-які інші речі, тимчасового або постійного характеру, наскільки необхідність надання цього окреслена в ДОГОВОРІ або обґрунтовано передбачається ДОГОВОРОМ.
2.3 КОНСУЛЬТАНТ виконує всі свої зобов’язання за ДОГОВОРОМ і надає ПОСЛУГИ з належним рівнем уваги і старанності, а також вміння, що очікується від поважного підрядника, що має досвід у видах діяльності, які мають бути виконані за ДОГОВОРОМ.
СТАТТЯ 3 – ПЕРСОНАЛ КОНСУЛЬТАНТА
3.1 КОНСУЛЬТАНТ гарантує, що КОНСУЛЬТАНТ має досвід і здатність, включаючи достатню кількість керівників та іншого ПЕРСОНАЛУ для надання ПОСЛУГ. Крім того, КОНСУЛЬТАНТ гарантує, що весь ПЕРСОНАЛ, який бере участь у наданні ПОСЛУГ, є обґрунтовано компетентним, належним чином кваліфікованим, і має належні вміння та досвід для роботи, яку він має виконати, відповідно до належної галузевої практики.
3.2 ТОВАРИСТВО може надати вказівку КОНСУЛЬТАНТУ відсторонити від надання ПОСЛУГ та замінити, безкоштовно для ТОВАРИСТВА, будь-яку особу, залучену до надання ПОСЛУГ, яка, на обґрунтовану думку ТОВАРИСТВА:
(a) є некомпетентною або їй бракує відповідного досвіду чи кваліфікації, або вона є недбалою у виконанні своїх обов’язків; або
(b) бере участь у діяльності, яка суперечить або шкодить інтересам ТОВАРИСТВА; або
(c) не дотримується відповідної техніки безпеки, викладеної у Статті „Охорона здоров’я, праці, навколишнього середовища та техніка безпеки”, або продовжує таку лінію поведінки, що може зашкодити здоров’ю, навколишньому середовищу або безпеці.
Будь-яка така особа негайно відсторонюється від надання ПОСЛУГ. Будь-яка особа, відсторонена з будь-якої з вищезазначених причин, не буде знову залучена до надання ПОСЛУГ, прямо чи опосередковано, без попереднього дозволу ТОВАРИСТВА.
КОНСУЛЬТАНТ забезпечує належну заміну такої особи якомога швидше, або в такий час, який може бути узгоджено між ТОВАРИСТВОМ і КОНСУЛЬТАНТОМ.
СТАТТЯ 4 – КОНФІДЕНЦІЙНА ІНФОРМАЦІЯ ТА ПРАВА ІНТЕЛЕКТУАЛЬНОЇ ВЛАСНОСТІ
4.1 Кожна сторона виконуватиме сама та забезпечуватиме виконання з боку свого ПЕРСОНАЛУ наступних дій: зберігати в таємниці та не розголошувати третім особам жодної КОНФІДЕНЦІЙНОЇ ІНФОРМАЦІЇ, використовувати таку КОНФІДЕНЦІЙНУ ІНФОРМАЦІЮ лише для цілей надання/одержання ПОСЛУГ. Жодна сторона („Сторона, яка Розкриває Інформацію”) не повинна розкривати КОНФІДЕНЦІЙНУ ІНФОРМАЦІЮ жодній третій особі без дозволу відповідної іншої сторони („Сторони, яка Одержує Інформацію”), за умови, що жодна сторона не має жодного зобов’язання по відношенню до КОНФІДЕНЦІЙНОЇ ІНФОРМАЦІЇ, яка: (i) була раніше відома Стороні, яка Одержує Інформацію, до або від час розкриття; (ii) незалежно розроблена Стороною, яка Одержує Інформацію, без використання КОНФІДЕНЦІЙНОЇ ІНФОРМАЦІЇ чи посилання на неї; (iii) законно отримана від третьої особи без обмежень у використанні чи розкритті; (iv) є або стає частиною надбання громадськості не з вини Сторони, яка Одержує Інформацію, АБО ПЕРСОНАЛУ Сторони, яка Одержує Інформацію; (v) повідомляється Стороною, яка Розкриває Інформацію, в письмовій формі. Більш того, Сторона, яка Одержує Інформацію, може розкрити КОНФІДЕНЦІЙНУ ІНФОРМАЦІЮ, розкриття якої вимагається відповідно до будь-якої судової чи урядової настанови чи розпорядження, за умови, що Сторона, яка Одержує Інформацію, надає Стороні, яка Розкриває Інформацію, обґрунтоване попереднє повідомлення з метою опротестування такої настанови чи розпорядження.
4.2 ДОГОВІР не надає та не передає ТОВАРИСТВУ або його АФІЛІЙОВАНИМ ОСОБАМ чи ПЕРСОНАЛУ ТОВАРИСТВА жодних прав на службову інформацію або програмне забезпечення КОНСУЛЬТАНТА, за винятком випадків, коли це чітко передбачено ДОГОВОРОМ.
ТОВАРИСТВО визнає та погоджується, що РЕЗУЛЬТАТИ ПОСЛУГ, включаючи дані КОНСУЛЬТАНТА та всі матеріали, пов’язані з РЕЗУЛЬТАТАМИ ПОСЛУГ, включаючи, зокрема, але без обмеження, методи, процеси, техніку, формули, комерційні таємниці, дослідження, звіти, технічні дані, ноу-хау та прогнози, які використовуються або розробляються КОНСУЛЬТАНТОМ у зв’язку з РЕЗУЛЬТАТАМИ ПОСЛУГ, є власністю КОНСУЛЬТАНТА та захищаються авторським правом США, Сполученого Королівства та міжнародним авторським правом, а також усіма іншими правами інтелектуальної власності, що застосовуються. РЕЗУЛЬТАТИ ПОСЛУГ, включаючи будь-які права інтелектуальної власності на них, є та залишаються власністю КОНСУЛЬТАНТА.
4.3 За умови оплати ЦІНИ ДОГОВОРУ, КОНСУЛЬТАНТ цим надає ТОВАРИСТВУ право та ліцензію, які не підлягають відступленню або передачі і не передбачають сплати роялті, для того щоб ТОВАРИСТВО та його АФІЛІЙОВАНІ ОСОБИ використовували РЕЗУЛЬТАТИ ПОСЛУГ для своїх внутрішніх ділових цілей доти, доки ТВАРИСТВО дотримується цього Договору. РЕЗУЛЬТАТИ ПОСЛУГ діють виключно на користь ТОВАРИСТВА та його АФІЛІЙОВАНИХ ОСІБ і зберігаються в таємниці, і в жодному випадку ТОВАРИСТВО не продає, не надає в оренду, не передає, в тому числі не передає на умовах субліцензії, та в інший спосіб не надає та забороняє доступ до РЕЗУЛЬТАТІВ ПОСЛУГ або будь-якої їхньої частини жодній третій особі (іншій за АФІЛІЙОВАНУ ОСОБУ).
4.4 ТОВАРИСТВО може розкрити РЕЗУЛЬТАТИ ПОСЛУГ на конфіденційній основі лише тим третім особам, які прямо співпрацюють з ТОВАРИСТВОМ або його АФІЛІЙОВАНИМИ ОСОБАМИ в спеціальних проектах, за умови, що (i) отримана попередня письмова згода КОНСУЛЬТАНТА, за винятком випадків, коли така згода необов’язкова для розкриття РЕЗУЛЬТАТІВ ПОСЛУГ підрядникам ТОВАРИСТВА, які працюють в якості внутрішнього персоналу ТОВАРИСТВА або його Афілійованих Осібна посадах, встановлених ТОВАРИСТВОМ; (ii) такі треті особи мають обов’язок дотримання конфіденційності; (iii) ТОВАРИСТВО несе повну відповідальність за використання такими третіми особами РЕЗУЛЬТАТІВ ПОСЛУГ і дотримання зобов’язання зі збереження конфіденційності таких РЕЗУЛЬТАТІВ ПОСЛУГ; ТОВАРИСТВО несе повну відповідальність за дотримання своїми АФІЛІЙОВАНИМИ ОСОБАМИ умов цього ДОГОВОРУ; (iv) ТОВАРИСТВО відшкодовує КОНСУЛЬТАНТУ будь-які втрати, збитки, витрати, які виникають згідно з або у зв’язку з будь-яким порушенням цього ДОГОВОРУ будь-якою третьою особою та/або будь-якою АФІЛІЙОВАНОЮ ОСОБОЮ.
4.5 ТОВАРИСТВО може використовувати РЕЗУЛЬТАТИ ПОСЛУГ лише для своїх внутрішніх ділових цілей, для створення посібників, карт, паперів, звітів, документів та інших матеріалів, які не є переважно копіями РЕЗУЛЬТАТІВ ПОСЛУГ, але можуть бути їхніми похідними, за умови, що такі похідні: (i) містять незначні обсяги Результатів Послуг які не можна визначити як РЕЗУЛЬТАТИ ПОСЛУГ КОНСУЛЬТАНТА; (ii) містять серйозні збільшення, зміни, об’єднання, регульовані результати аналізу або інші риси, які не містяться в РЕЗУЛЬТАТАХ ПОСЛУГ; і віддають належне КОНСУЛЬТАНТУ в наступній формі: „Включає результати послуг, наданих IHS, її афілійованими особами та дочірніми компаніями; Авторське право (рік публікації), усі права захищені.”; (iii) не є доступними на веб-сайтах ТОВАРИСТВА та його АФІЛІЙОВАНИХ ОСІБ; (iv) не мають незалежної комерційної цінності; та (v) не конкурують з Результатами Послуг КОНСУЛЬТАНТА.
ТОВАРИСТВО цим бере зобов’язання, що його працівники або підрядники матимуть доступ до РЕЗУЛЬТАТІВ ПОСЛУГ лише через власну мережу ТОВАРИСТВА, і що після завершення або припинення трудових відносин або договору з будь-яким користувачем РЕЗУЛЬТАТІВ ПОСЛУГ, такі користувачі більше не матимуть доступу до РЕЗУЛЬТАТІВ ПОСЛУГ через мережу ТОВАРИСТВА. Крім того, ТОВАРИСТВО зобов’язується застосовувати такі ж заходи, що використовуються для захисту своїх власних результатів послуг, з метою запобігання тому, щоб працівники або підрядники могли забрати або розкрити РЕЗУЛЬТАТИ ПОСЛУГ, отримані за цим Договором.
4.6 КОНСУЛЬТАНТ не розкриває третім особам рекомендації або висновки, що притаманними саме ТОВАРИСТВУ або його АФІЛІЙОВАНИМ ОСОБАМ та які містяться в ПОСЛУГАХ або РЕЗУЛЬТАТАХ ПОСЛУГ, у разі наявності. Однак ТОВАРИСТВО визнає, що КОНСУЛЬТАНТ може від імені інших клієнтів розробити рекомендації чи висновки, аналогічні тим, які надані ТОВАРИСТВУ.
4.7 Будь-які права інтелектуальної власності, що існували до того в КОНФІДЕНЦІЙНІЙ ІНФОРМАЦІЇ, в повному обсяг відступаються власнику такої КОНФІДЕНЦІЙНОЇ ІНФОРМАЦІЇ.
СТАТТЯ 5 – ВНЕСЕННЯ ЗМІН І ПРИЗУПИНЕННЯ
5.1 ТОВАРИСТВО має право надати вказівки КОНСУЛЬТАНТУ в будь-який час стосовно внесення належних ЗМІН до ПОСЛУГ, що в межах можливостей та ресурсів КОНСУЛЬТАНТА. У випадку ЗМІНИ Сторони переглядають ЦІНУ ДОГОВОРУ та графік і взаємно узгоджують таке коригування, яке можу бути чесним і обґрунтованим, з огляду на всі відповідні фактори. Досягнувши згоди, Сторони укладають додатковий договір, який відображає переглянутий зміст ПОСЛУГ, ціну та графік.
5.2 ТОВАРИСТВО має право, шляхом направлення повідомлення КОНСУЛЬТАНТУ, призупинити надання ПОСЛУГ або будь-якої їхньої частини. Якщо призупинення не є результатом істотного невиконання зобов’язань з боку КОНСУЛЬТАНТА, тоді КОНСУЛЬТАНТ отримає належне відшкодування за період надання повідомлення.
